Welcome to CleanBuildPoint. These Terms and Conditions govern your use of our automatic gate system installation services and website. By engaging our services or accessing our website, you agree to be bound by these terms.

1. Definitions and Interpretation

In these Terms and Conditions, unless the context otherwise requires:

  • "Company," "We," "Us," "Our" refers to CleanBuildPoint, located at Via della Moscova, 20, Milano, 20121, Italy.
  • "Client," "You," "Your" refers to the individual or entity engaging our automatic gate system installation services.
  • "Services" means the automatic gate system installation, maintenance, repair, and related services provided by CleanBuildPoint.
  • "Agreement" means the contract formed between CleanBuildPoint and the Client for the provision of Services.
  • "Website" refers to our online platform and all associated digital properties.

2. Service Scope and Specifications

CleanBuildPoint specializes in the professional installation of automatic gate systems for residential, commercial, and industrial properties. Our services include but are not limited to:

  • Consultation and site assessment for automatic gate system requirements
  • Custom design and planning of gate automation solutions
  • Professional installation of sliding gates, swing gates, and barrier systems
  • Integration of access control systems, intercoms, and security features
  • Electrical wiring and safety sensor installation
  • Testing, commissioning, and client training
  • Maintenance contracts and emergency repair services

Important: All installations are performed in accordance with Italian safety regulations and European CE standards. The specific scope of work will be detailed in individual quotations and service agreements.

3. Quotations and Pricing

All quotations provided by CleanBuildPoint are valid for a period of 30 days from the date of issue unless otherwise specified. Quotations are based on the information provided by the Client and site conditions at the time of assessment.

3.1 Price Adjustments

We reserve the right to adjust pricing if:

  1. Unforeseen site conditions are discovered that were not apparent during the initial assessment
  2. The Client requests modifications to the original specifications
  3. There are significant changes in material costs or supplier pricing
  4. Additional permits or regulatory compliance requirements are identified

Any price adjustments will be communicated to the Client in writing and require approval before proceeding with the affected work.

4. Payment Terms

Payment for our services shall be made according to the following schedule unless otherwise agreed in writing:

  • Deposit: 40% of the total project cost upon acceptance of quotation
  • Progress Payment: 40% upon delivery of materials to site
  • Final Payment: 20% upon successful completion and commissioning of the installation

Late Payment: Invoices are due within 15 days of issue. Late payments may incur interest charges at a rate of 8% per annum above the European Central Bank base rate. We reserve the right to suspend services for accounts with overdue payments.

5. Client Responsibilities

To ensure successful completion of the installation, the Client agrees to:

  • Provide accurate information regarding site conditions, existing infrastructure, and specific requirements
  • Ensure clear and safe access to the installation site for our personnel and equipment
  • Obtain any necessary permissions from property owners, homeowners associations, or relevant authorities
  • Ensure that electrical supply points are available as specified in the quotation
  • Secure any required building permits or planning permissions before installation commences
  • Remove or relocate any obstacles that may interfere with the installation process
  • Ensure pets are secured and children are supervised during installation work

6. Installation Timeline and Delays

CleanBuildPoint will make reasonable efforts to complete installations within the estimated timeframe provided. However, completion dates are estimates and not guaranteed delivery dates unless explicitly stated as such in writing.

6.1 Force Majeure

We shall not be liable for delays or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to: severe weather conditions, natural disasters, strikes, material shortages, supplier delays, pandemics, government restrictions, or other force majeure events.

7. Warranties and Guarantees

7.1 Workmanship Warranty

CleanBuildPoint guarantees all installation workmanship for a period of 24 months from the date of completion. This warranty covers defects in installation but does not cover damage caused by misuse, neglect, unauthorized modifications, or normal wear and tear.

7.2 Equipment Warranty

Automatic gate systems and components are covered by the manufacturer's warranty, typically ranging from 12 to 36 months depending on the brand and product. Full warranty details will be provided with the installation documentation.

7.3 Warranty Exclusions

Warranties do not cover:

  • Damage caused by accidents, misuse, or failure to follow operating instructions
  • Repairs or modifications performed by unauthorized third parties
  • Normal wear and tear of moving parts and consumables
  • Damage from extreme weather events or acts of vandalism
  • Electrical surges or power supply issues beyond our control

8. Liability and Indemnification

CleanBuildPoint maintains comprehensive professional liability insurance and public liability insurance as required by Italian law. Our liability is limited as follows:

8.1 Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim. We shall not be liable for any indirect, consequential, or incidental damages including but not limited to loss of profits, business interruption, or loss of data.

8.2 Client Indemnification

The Client agrees to indemnify and hold harmless CleanBuildPoint against any claims, damages, or expenses arising from the Client's failure to obtain necessary permits, permissions, or comply with applicable regulations.

9. Cancellation and Termination

9.1 Cancellation by Client

Clients may cancel projects with the following penalties:

  • Cancellation before materials are ordered: Forfeiture of 25% of deposit
  • Cancellation after materials are ordered: Forfeiture of full deposit plus cost of non-returnable materials
  • Cancellation after installation has commenced: Payment of all work completed plus materials supplied

9.2 Termination by Company

We reserve the right to terminate the Agreement if the Client breaches these Terms and Conditions, fails to make payments as agreed, or if site conditions make safe completion of the work impossible.

10. Maintenance and After-Sales Support

We strongly recommend regular maintenance of automatic gate systems to ensure optimal performance and safety. CleanBuildPoint offers maintenance contracts that include:

  • Bi-annual inspection and servicing
  • Safety system testing and calibration
  • Lubrication of moving parts
  • Priority emergency call-out service
  • Discounted rates on repairs and spare parts

11. Safety and Compliance

All automatic gate systems installed by CleanBuildPoint comply with European safety standards including EN 12453, EN 12445, and EN 13241-1. Safety features include obstacle detection, emergency stop functions, and appropriate warning signage.

Clients are responsible for ensuring that all users of the automatic gate system are properly trained in its safe operation and that regular safety checks are performed as outlined in the user manual.

12. Intellectual Property

All designs, drawings, specifications, and technical documentation created by CleanBuildPoint remain our intellectual property. Clients receive a non-exclusive license to use such materials solely for the operation and maintenance of their installed system.

13. Privacy and Data Protection

We collect and process personal data in accordance with the General Data Protection Regulation (GDPR) and Italian data protection laws. Client information is used solely for the purpose of providing our services and will not be shared with third parties except as necessary for service delivery or as required by law.

14. Dispute Resolution

In the event of any dispute arising from these Terms and Conditions or the provision of our services, the parties agree to first attempt resolution through good faith negotiation. If negotiation fails, disputes shall be resolved through mediation before resorting to litigation.

14.1 Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Italy. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Milano, Italy.

15. Modifications to Terms

CleanBuildPoint reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Clients will be notified of material changes via email. Continued use of our services after modifications constitutes acceptance of the updated terms.

16. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms and Conditions, together with any written quotations, service agreements, and invoices, constitute the entire agreement between CleanBuildPoint and the Client, superseding all prior discussions, negotiations, and agreements.
